Terms of Use
These Terms of Use ("Terms") govern your access to and use of the services provided by Epocra LLC ("Epocra," "we," "us," or "our"), including our website, applications, software, and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms.
If you do not agree, do not use the Services.
1. Eligibility
The Services are intended for users located in the United States and at least 18 years old.
By using the Services, you represent and warrant that:
- You are at least 18 years old
- You are located in the United States
- You have the legal authority to enter into these Terms
2. Description of Services
Epocra provides software tools that may include:
- Call recording functionality
- Audio capture and processing
- Transcription services
- AI-generated summaries, insights, and analytics
- Data storage and retrieval
We may modify, suspend, discontinue, improve, or change any part of the Services at any time.
Some features may be experimental, beta, evolving, or discontinued without notice.
3. Recording Compliance and Legal Responsibility
Epocra provides tools that enable recording and processing of communications. Epocra does not provide legal advice.
Recording laws vary by jurisdiction and may require notice or consent from one or all parties.
You are solely responsible for:
- Determining whether recording is lawful
- Complying with all applicable recording laws
- Providing legally required disclosures
- Obtaining required consent from participants
By enabling or using recording functionality, you represent and warrant that:
- You have provided all legally required notices
- You have obtained all legally required consent
- Your use complies with applicable law
Voice Identification. Voice Identification is an optional feature you may enable for your own account. By enabling it, you consent to Epocra creating and storing a voiceprint derived from your voice, for the sole purpose of identifying you within your own recordings.
You may not use Voice Identification, or attempt to use the Services, to identify any person other than yourself by voice. Epocra does not create voiceprints of other call or meeting participants, and attempting to circumvent this restriction is a breach of these Terms.
You may withdraw your consent and have your voiceprint deleted at any time. Retention and deletion are described in our Privacy Policy.
Users assume all responsibility for determining whether the Services are appropriate for any regulated, compliance, or record-retention use case.
4. AI Output Disclaimer
The Services may generate AI-produced transcripts, summaries, insights, recommendations, or other outputs.
You acknowledge and agree:
- AI-generated content may contain inaccuracies or omissions
- AI output is probabilistic and may not reflect exact call content
- AI output is not legal, financial, medical, professional, or regulatory advice
- The Services are informational tools and do not replace professional judgment
You are solely responsible for reviewing and verifying AI-generated output before relying on it.
Epocra disclaims liability arising from reliance on AI-generated content.
5. Account Registration and Security
You agree to:
- Provide accurate and complete information
- Maintain the confidentiality of credentials
- Accept responsibility for activity under your account
We may suspend or terminate accounts for violations of these Terms, security risks, legal compliance, operational reasons, or other legitimate reasons.
6. Acceptable Use
You may not use the Services to:
- Violate any law
- Record communications unlawfully
- Harass, defraud, or mislead others
- Infringe intellectual property rights
- Transmit malicious code
- Interfere with operation of the Services
- Attempt unauthorized access to the Services
- Reverse engineer or misuse the Services
- Use the Services to develop competing products
We may suspend or terminate violating accounts.
7. Data Ownership and License
You retain ownership of content you upload or record.
You grant Epocra a limited, non-exclusive license to process, store, transmit, analyze, maintain, secure, and support your content solely for the purpose of operating and providing the Services to you.
Epocra does not use your recordings, transcripts, or summaries to train, fine-tune, or develop AI or machine learning models.
We do not claim ownership of your recordings.
Privacy controls, retention and access. Privacy features within the Services — including marking a contact or label as private, disabling recording for a call, and removing a call from your account — control what is visible within your account. They do not delete the underlying recording, transcript, or associated records from Epocra’s systems, and removing a privacy designation applies only to future calls. Epocra retains such content in accordance with its Privacy Policy and may access it through a limited number of authorized personnel where reasonably necessary to operate, support, secure, and maintain the Services, to investigate suspected abuse or violations of these Terms, or to comply with legal obligations or lawful requests.
8. Fees, Billing and Subscriptions
If you purchase a subscription:
- Fees are billed in advance
- Fees are non-refundable except where required by law
- Pricing may change with reasonable notice
- Failure to pay may result in suspension or termination
You authorize recurring charges to your selected payment method.
9. Termination
We may suspend or terminate access:
- For violation of these Terms
- For non-payment
- To comply with law
- For security or operational reasons
You may cancel your account at any time.
Termination does not relieve payment obligations accrued prior to termination.
10. Service Availability Disclaimer
The Services are provided on an "as available" basis.
Epocra does not guarantee:
- Continuous or uninterrupted availability
- Error-free or secure operation
- Preservation, storage, retrieval, or availability of recordings, transcripts, summaries, or other content
Users are responsible for maintaining any records they require.
11. Disclaimer of Warranties
To the maximum extent permitted by law, the Services are provided "as is" and "as available."
Epocra disclaims all warranties, express or implied, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability of output
12. Limitation of Liability
To the maximum extent permitted by law, Epocra shall not be liable for:
- Indirect, incidental, consequential, special, or punitive damages
- Loss of profits
- Loss of data
- Business interruption
Epocra shall have no liability arising from:
- User recordings or failure to obtain consent
- Unlawful use of recording features
- User reliance on AI-generated outputs
- Compliance or regulatory consequences arising from user conduct
Epocra's total liability shall not exceed the amount paid by you to Epocra during the twelve (12) months preceding the claim.
Some jurisdictions may not allow certain limitations, so limitations apply to the maximum extent permitted by law.
13. Indemnification
You agree to defend, indemnify, and hold harmless Epocra and its officers, directors, employees, and affiliates from claims, damages, liabilities, losses, costs, and expenses (including attorneys' fees) arising from:
- Your recordings
- Violation of recording laws
- Misuse of Voice Identification, including attempts to identify third parties by voice
- Misuse of the Services
- Breach of these Terms
This obligation survives termination.
14. Arbitration and Class Action Waiver
Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration on an individual basis and not in court, except claims eligible for small claims court.
You waive:
- Any right to a jury trial
- Any right to participate in a class action or class-wide arbitration
Nothing prevents either party from seeking injunctive relief for intellectual property or misuse claims.
15. Force Majeure
Epocra is not liable for delays or failures caused by events beyond reasonable control, including telecommunications failures, outages, cyberattacks, natural disasters, labor disputes, government actions, or other force majeure events.
16. Governing Law
These Terms are governed by applicable United States law, without regard to conflict of law principles.
17. Changes to Terms
We may update these Terms periodically. Updated versions will be posted with a revised effective date.
Continued use of the Services after updates become effective constitutes acceptance of revised Terms.
